PrintO Licence Agreement

Version 1.0 · in effect from 9 October 2026

This agreement is between Cresslink Tech Solutions (registration number RC-9697661, of Ikeja, Lagos State, Nigeria) ("we", "us", "PrintO") and the person or business that buys a licence ("you"). By ticking the box when you buy, and paying, you agree to it. Please read it; if something is unclear, email us at sales@printo.ng before you buy.

The short version

  1. You are buying the right to use the PrintO software on the domains your plan allows, for the period you paid for. You do not buy the software itself.
  2. We keep ownership of the software. You keep ownership of your business, your data, your customers and your content.
  3. Your licence runs for a year at a time. If you don't renew, your store keeps working for a grace period and then is limited in stages. We never delete your data.
  4. You are responsible for what you sell and print, for your customers' personal data, and for your own payment and SMS accounts.
  5. We aim to fix problems fast, but we cannot promise the software is free of errors or that it will never go down. Our liability is limited as set out below.
  6. This agreement is governed by Nigerian law.

1. Definitions

  • Software: the PrintO web-to-print store software we supply, including updates, the design studio, templates and documentation.
  • Licence: the signed licence key we issue to you, for the plan you bought, which unlocks the Software's features on your domains.
  • Plan: Starter, Business or Enterprise, with the features and number of domains shown on our pricing page when you bought it.
  • Add-ons and services: anything else you buy from us, such as an extra storefront design, a custom storefront design, a template set, installation, or hosting.
  • Licence Hub: our website and system that sells, issues, checks and renews licences.
  • Your data: everything held in your store, including your customers' details, orders, artwork and designs.

2. The licence we grant you

2.1 We grant you a non-exclusive, non-transferable, non-sublicensable licence to install and use the Software for your own business on the number of domains your Plan allows, for the Licence period.

2.2 The Software runs on your own hosting. You are responsible for your hosting, domain name, SSL certificate, email sending and backups (unless you bought our hosting service in section 8).

2.3 You may move the Software to another server or domain up to 2 times a year using your account; ask us if you need more.

3. What you must not do

You must not, and must not let anyone else:

  • copy, sell, rent, lend, share or give the Software or your licence key to anyone else, or use one licence on more domains than your Plan allows;
  • remove, bypass or tamper with the licence checks, the "powered by" credit (unless your Plan removes it), or any copyright notice;
  • reverse-engineer, decompile or try to extract the source of any protected part of the Software, except where the law lets you do so;
  • use the Software to run a service for other print shops, or to build a competing product;
  • use the Software for anything unlawful, or to sell or print material that is unlawful, infringes someone else's rights, or is fraudulent.

4. Fees and payment

4.1 You pay the price shown when you buy, in naira. Prices may include or exclude VAT as shown on your invoice; you are responsible for any taxes that apply to you.

4.2 Licences are for 12 months from the date issued. You can pay online (Paystack) or by bank transfer to the account on your invoice. Your licence is issued once we have received your payment.

4.3 Renewal. We will remind you before your licence expires. To keep your licence, renew before or after expiry; renewing adds a further 12 months from the later of your expiry date and the date you pay. We may change prices for renewals, and will tell you at least [30] days before it applies to you.

4.4 Upgrades. You can move to a higher Plan at any time by paying the price difference for the time left on your licence.

4.5 Refunds. A licence key is delivered to you straight away, so fees are not refundable once your key has been issued, except where [we cannot provide the Software as described and cannot fix it within [14] days of you telling us, or where the law gives you a right to a refund]. If you have a problem installing, contact us first: we will help.

4.6 If you are late paying an invoice we send you, we may suspend delivery of services we have not yet provided.

5. Your licence period, renewal and what happens if it ends

5.1 If your licence expires and you do not renew, your store keeps working for a 14-day grace period with a reminder shown to staff. After that, changes in the admin area are paused. If it stays unrenewed for more than 30 days, the store goes offline until you renew.

5.2 We never delete your data because a licence has lapsed. It stays in your database on your hosting. Renewing restores everything.

5.3 We may suspend or revoke a licence if you seriously or repeatedly break this agreement (for example by sharing it, or by using it unlawfully) and do not fix it within [7] days of our written notice, or immediately where the breach cannot be fixed or puts others at risk. We will tell you why.

5.4 Either of us may end this agreement by written notice if the other commits a serious breach that is not fixed within [14] days of notice.

5.5 When this agreement ends, your licence stops and you must stop using the Software. You keep your data and can export it. Sections that are meant to continue (such as ownership, liability and confidentiality) do.

6. Updates and support

6.1 While your licence is active you may download and install updates we publish for your Plan. We may add, change or remove features over time; we will not take away a feature your Plan was sold with during your licence period without a fair replacement.

6.2 We provide support by email and, on some Plans, WhatsApp or phone, as described on our pricing page, on working days. We aim to reply within [one working day]. Support covers installation help, using the Software and fixing faults in the Software. It does not cover your hosting, your content, third-party services, or customisation unless you bought it.

6.3 You should keep regular backups of your store. The Software can make them for you.

7. Add-ons and services

7.1 Storefront designs and template sets bought as add-ons are licensed to you on the same terms as the Software, for the add-on's period, on your licensed domains.

7.2 Custom storefront design. If you buy a custom storefront design:

  • we design a storefront for your brand, and we will not supply that design to another customer;
  • you must give us the brand material we ask for (logo, colours, fonts, photographs) and confirm you have the right to use it;
  • we will deliver it within [10 working days] of receiving what we need, and include [one round of changes];
  • it is delivered to your licence and appears in your store automatically; it is tied to your licence and shows only while your licence is active;
  • you get the right to use it on your licensed domains. We keep ownership of the underlying code, tools and pre-existing materials we use to build it, and of any general ideas and techniques;
  • if you do not want us to share a ready-made design with other stores, the custom design is the option for that.

7.3 Installation and setup services are provided with reasonable care and skill, on the hosting and with the access you give us.

8. Hosting and database service (Enterprise Plan)

8.1 If your Plan includes it, we provide managed hosting for your store, included in your yearly Enterprise licence fee, and we set up a PostgreSQL database for it once, when you start. The hosting runs for as long as your Enterprise licence is active and renews each year with your licence: renewing the licence renews the hosting, at no extra charge. Hosting begins on the day we tell you your store is live.

8.2 We host your store with a reputable cloud hosting provider, in data centres that may be outside Nigeria (for example in France or Canada). By using this service you agree to your store's data being held there.

8.3 We use reasonable efforts to keep your store online and to take backups, but we do not guarantee uninterrupted service unless we agree an uptime commitment in writing. Fair use applies: [storage up to [10] GB and traffic reasonable for a print shop]; tell us if you expect much more.

8.4 If your licence is not renewed, the hosting follows the same stages as in section 5. After the grace period we may take your store offline; we will keep your data safe for [60] days and help you export it, after which we may delete it from our hosting.

8.5 You remain responsible for your content, your customers and your compliance with the law. We may suspend a store that is used unlawfully or that harms the service for others, giving notice where we can.

8.6 You can ask us to move your store and data to your own hosting at any time, and we will help you do so within a reasonable time.

9. Your data and personal information

9.1 Your data is yours. For the personal data of your own customers, you decide why and how it is used and you are responsible for protecting it and for following Nigerian data protection law, including the Nigeria Data Protection Act, 2023. You should tell your customers how you use their data (the Software gives you privacy and cookie pages to edit).

9.2 What we hold about you. We hold your name, email, phone number, business name, purchases, licence and domain details and messages you send us. We use them to sell and support the licence, to send you receipts and renewal reminders, and to keep accounts. We handle them as described on our compliance page and cookie page.

9.3 What your store tells us. When your store activates and once a day, it sends us its web address, an installation ID, the Software and PHP versions, and a count of orders in the last 30 days. It never sends your customers' details, order contents, prices, artwork or payment information.

9.4 If we host your store (section 8) we act on your instructions as your service provider for your customers' data: we will only use it to provide the service, keep it secure, tell you without undue delay (and, where the law requires, within 72 hours) if we learn of a breach affecting it, and delete or return it when the service ends.

9.5 You can ask us at any time to access, correct or delete the personal data we hold about you, except records we must keep for accounting and tax.

10. Third-party services

The Software can connect to services run by others, such as Paystack, Flutterwave, Monnify, Termii and WhatsApp. You must have your own account with each, you pay their charges, and their terms apply to your use of them. We are not responsible for their services or for payments they process.

11. Your responsibilities

You are responsible for: what you sell, print and publish; having the rights to artwork, designs and brand material you or your customers use; your prices, taxes, delivery, refunds and terms with your customers; keeping your admin passwords and licence key safe; and complying with the laws that apply to your business.

12. Ownership

12.1 We (and our licensors) own the Software and everything in it, including the code, design, templates we supply, names and logos. Nothing in this agreement transfers ownership to you.

12.2 You own your data, your brand, your content and your customers' orders. You give us permission to use your data only as needed to provide what you bought.

12.3 If you give us feedback or ideas, we may use them without owing you anything.

13. Our promises, and what we do not promise

13.1 We promise that we have the right to license the Software to you, and that we will provide what you buy with reasonable care and skill.

13.2 Apart from that, the Software and services are provided "as is". We do not promise the Software will be error-free, uninterrupted, or suitable for a particular purpose, or that it will make you sales. To the fullest extent the law allows, we exclude all other promises, conditions and warranties.

14. Limit of our liability

14.1 Nothing in this agreement limits liability that cannot be limited by law, such as for fraud or for death or personal injury caused by negligence.

14.2 Otherwise, we are not liable for loss of profit, sales, goodwill or data, or for any indirect or consequential loss, however it arises.

14.3 Our total liability to you for anything connected with this agreement in any 12-month period is limited to the fees you paid us for the licence or service concerned in that period.

15. Indemnity

You will protect us against claims, losses and costs (including reasonable legal fees) that come from your breach of this agreement, from what you sell, print or publish using the Software, or from your use of it in breach of the law.

16. Confidentiality

Each of us will keep the other's non-public business information confidential, use it only for this agreement, and not disclose it except to advisers who need to know, or where the law requires. This does not apply to information that is public through no fault of ours or yours.

17. Events beyond our control

Neither of us is in breach for delay or failure caused by events beyond our reasonable control, such as power or internet failures, hosting or payment-provider outages, natural events, government action or industrial action. This does not excuse a failure to pay.

18. Changes to this agreement

We may update this agreement, for example when our services or the law change. We will publish the new version on our website and tell you by email before it applies to you; the version that applies is the one you accepted when you bought or last renewed, unless the change is needed by law or is in your favour. If you do not agree to a change, you may decide not to renew.

19. General

19.1 Whole agreement. This agreement, your invoice and the plan description on our pricing page when you bought are the whole agreement between us about the Software, and replace anything said earlier.

19.2 Electronic acceptance. You agree that ticking the acceptance box and paying counts as your signature. We keep a record of your acceptance (the version, the date and time, and your internet address).

19.3 Notices. We will send notices to the email address on your account; you can write to us at sales@printo.ng, Ikeja, Lagos State, Nigeria. A notice by email is received on the next working day after it is sent.

19.4 Assignment. You may not transfer this agreement without our written consent. We may transfer it to a company that takes over our business, and will tell you.

19.5 If part is unenforceable, the rest stays in force. If we do not enforce a right straight away, we have not given it up.

19.6 No partnership. Nothing here makes us partners, employer and employee, or agents of each other.

20. Governing law and disputes

20.1 This agreement and any dispute about it are governed by the laws of the Federal Republic of Nigeria.

20.2 If we have a dispute, we will first try to settle it by talking, within [30] days of one of us writing to the other about it.

20.3 If that does not work, the dispute will be settled by arbitration in [Lagos] under the Arbitration and Mediation Act, 2023, by a single arbitrator agreed by us (or chosen under that Act if we cannot agree). The language will be English.

20.4 Either of us may go to the courts of [Lagos State] to ask for urgent orders to protect its rights (for example to stop misuse of the Software) while arbitration is pending.
